BY ACCESSING OR USING THE SERVICES PROVIDED BY REACH HEALTH INC. ("REACH," "WE," "US," OR "OUR"), INCLUDING ANY PRODUCTS, TELEHEALTH CONSULTATIONS, AND WEBSITE CONTENT, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE, DO NOT USE OUR SERVICES.

1. Acceptance of Terms

Your access and use of our services is conditioned upon your acceptance of these Terms and our Privacy Policy. These Terms may be updated at any time. Continued use of the service indicates your agreement to any changes made.

2. Description of Services

Reach provides access to telehealth consultations and prescription medications through licensed third-party medical providers and pharmacies. Our platform facilitates:

• Medical evaluations
• Prescription management
• Order fulfillment through verified partners such as ThePharmacyHub and Beluga Health
• Discreet shipping of prescription tablets designed to support sexual wellness

Reach is not a medical provider. Medical services are provided by independent third-party licensed professionals.

3. Eligibility and Access

You must be at least 18 years old to use the service. By using the platform, you confirm that:

• You are of legal age in your jurisdiction
• You reside in a location where Reach services are available
• You are using the services for yourself only

4. Medical Consultations and Prescriptions

All prescriptions require a valid consultation by a licensed medical provider. Reach facilitates these consultations but does not practice medicine.

• Medications are dispensed only upon provider approval.
• Prescriptions may be filled through a pharmacy of your choice, or through our partner pharmacies.
• Your use of the service may create a patient-provider relationship with an independent healthcare professional, not with Reach.

5. Subscription Services

Certain products may be offered on a recurring subscription basis. By subscribing, you agree to:

• Automatic recurring charges to your payment method
• Billing cycles disclosed during checkout
• The ability to pause or cancel through your account

If canceled, your subscription will remain active until the end of the current billing period. Refunds are not guaranteed.

6. Payment and Pricing

All services and prescriptions are provided on a cash basis. We do not participate in federal or state healthcare programs, including Medicare or Medicaid. You are solely responsible for the full cost of any service or product purchased through Reach.

7. Privacy and Protected Information

By using our service, you may provide information that includes personal and health-related data. While Reach is not a "covered entity" under HIPAA, we handle your data responsibly. Medical providers or pharmacy partners may be covered entities. Any Protected Health Information (PHI) will be used and disclosed in accordance with applicable laws.

8. Use of Telehealth Services

Telehealth involves the use of electronic communication between you and a licensed healthcare professional. It is not appropriate for all conditions, and you may be referred for in-person care if necessary. You must review and accept our Telehealth Consent form prior to receiving services.

9. Technology and Responsibility

You are responsible for maintaining your own access to internet-enabled devices. Reach is not liable for interruptions or errors resulting from your equipment or connectivity.

10. Prohibited Use

You may not use our services for unlawful or inappropriate purposes, including but not limited to:

• Impersonating others
• Submitting false or misleading information
• Uploading viruses or harmful code
• Violating intellectual property rights

11. Ownership of Content

All intellectual property on the Reach platform — including text, design, code, and trademarks — is owned by Reach or its licensors. You may not copy or use this content without written permission.

12. Right to Monitor and Terminate

We reserve the right to monitor platform usage and terminate access to users who violate these terms. We may also remove or restrict access to content deemed harmful, unlawful, or inappropriate.

13. User Accounts and Security

You must register for an account to use our services. You are responsible for maintaining the confidentiality of your login credentials. Notify us immediately of any unauthorized use.

14. Third-Party Services

Our platform may include links to or integrations with third-party services, including pharmacies and laboratories. We do not control these entities and are not responsible for their services, content, or data practices.

16. Disclaimer of Warranties

The service is provided "as is" without warranty of any kind. Reach does not guarantee specific results. Use is at your own risk.

17. Limitation of Liability

To the fullest extent permitted by law, Reach will not be liable for indirect, incidental, or consequential damages arising from your use of the service. Maximum liability is limited to the amount paid by you in the previous 6 months.

18. Indemnification

You agree to indemnify and hold harmless Reach, its affiliates, partners, and service providers from any claims or liabilities arising out of your use of the service or breach of these terms.

19. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflicts of laws principles.

20. Arbitration Agreement

All disputes will be resolved through binding arbitration. You waive your right to a jury trial or class action. You may opt out of arbitration within 30 days of accepting these terms by emailing legal@reachhealth.com.

21. Termination

We reserve the right to suspend or terminate your access to the platform at any time, with or without cause. Your obligations under these terms shall survive such termination.

22. Entire Agreement

These Terms, along with our Privacy Policy and any other legal notices posted, constitute the entire agreement between you and Reach.
